Agreement to Terms
These Terms and Conditions ("Terms") govern your access to and use of the EAG — Elite Automotive Group platform, including our website, services, listings, escrow facilitation, and communications. By accessing our platform or submitting any inquiry or intake form, you agree to be bound by these Terms.
If you do not agree with any part of these Terms, you must discontinue use of the platform immediately. These Terms apply to all users, including buyers, sellers, and visitors, located in the United States and Canada.
EAG acts as a facilitation platform. We connect verified buyers and sellers and manage the escrow and logistics process. We are not a party to the underlying sale agreement between buyer and seller unless explicitly stated otherwise.
Platform Use
The EAG platform is provided for the purpose of facilitating private high-value asset transactions. You may use our platform only for lawful purposes and in accordance with these Terms.
- You may submit asset listings, buyer inquiries, and escrow requests for legitimate private transactions
- You may not use the platform to list assets you do not own or have legal authority to sell
- You may not misrepresent the condition, history, or ownership status of any asset
- You may not use automated tools or bots to access, scrape, or interact with the platform
- You may not attempt to bypass verification or identity screening requirements
- You may not use the platform to facilitate money laundering, fraud, or any illegal activity
EAG reserves the right to suspend or permanently remove any user from the platform at its discretion, particularly where misuse, fraud, or misrepresentation is suspected.
Eligibility
To use the EAG platform and participate in any transaction, you must:
- Be at least 18 years of age
- Be located in or conducting a transaction within the United States or Canada
- Provide accurate and complete identity information as required for verification
- Have the legal capacity to enter into a binding contract under applicable law
- Not be prohibited by any court order, regulatory action, or law from participating in asset transactions
EAG reserves the right to decline access to any individual or entity without explanation. Passing our initial intake screening does not guarantee approval for any specific transaction.
Buyer Responsibilities
As a buyer using the EAG platform, you acknowledge and agree to the following:
- You are responsible for reviewing all available documentation, inspection reports, and asset disclosures prior to submitting funds into escrow
- EAG strongly recommends engaging an independent inspector of your choosing for any asset transaction. EAG-provided inspection reports are informational and do not constitute a warranty
- You accept that asset valuations fluctuate and EAG makes no representations about the current or future market value of any asset
- Funds must be deposited into the designated escrow account in the agreed amount and timeframe
- Buyer is responsible for any applicable taxes, registration fees, import duties, or licensing costs in their state or province
- Wire transfer and escrow processing fees are outlined separately and are the buyer's responsibility unless otherwise negotiated
- Buyer must indicate acceptance or rejection of the asset within the inspection window specified in the transaction agreement
- Failure to respond within the inspection window may be treated as acceptance at EAG's discretion
- Once acceptance is confirmed and escrow is released, the transaction is considered final
Seller Responsibilities
As a seller listing an asset through EAG, you acknowledge and agree to the following:
- Accuracy: All information provided about your asset must be accurate, complete, and not misleading. You must disclose any known defects, damage history, liens, or encumbrances
- Clear title: You represent that you are the legal owner of the asset and that it is free of undisclosed liens, judgments, or ownership disputes at the time of listing
- Documentation: You must provide all required documentation including title, registration, service records where applicable, and any other records reasonably requested by EAG or a prospective buyer
- Availability: The asset must remain available for sale throughout the active listing period. You may not sell the asset through another channel without first notifying EAG and withdrawing the listing
- Cooperation: You must cooperate fully with the escrow process, inspection coordination, and logistics arrangements required to complete the transaction
- Commission: EAG's facilitation fee structure will be outlined in your seller agreement. Fees are earned upon successful transaction close
Escrow Process
All EAG transactions are conducted through a structured escrow process designed to protect both buyer and seller. The following terms govern that process:
- Buyer funds are deposited with a third-party escrow provider prior to asset inspection or transfer
- Funds remain held in escrow until the buyer has completed the inspection period and confirmed acceptance
- Escrow funds are released to the seller only upon verified completion of title transfer and buyer acceptance
- In the event of a dispute, funds remain in escrow until the matter is resolved per the dispute resolution process outlined below
- EAG does not take custody of buyer funds at any point — all funds are held by the independent escrow provider
- Escrow timelines are established in the transaction agreement. Delays caused by either party may result in additional holding fees
EAG coordinates the escrow process but is not the escrow provider. Our escrow partner is an independent licensed institution. EAG's role is to verify transaction milestones and authorize fund releases in accordance with the agreed process.
Inspections & Condition Reports
EAG may facilitate or provide access to inspection reports as part of the transaction process. The following applies to all inspection-related matters:
- Inspection reports provided through EAG represent the professional opinion of the inspector at the time of inspection. They are not a guarantee of the asset's condition
- Buyers are strongly encouraged to engage their own independent inspector in addition to any EAG-facilitated inspection
- EAG is not responsible for defects, issues, or conditions that were not identified during any inspection
- Pre-purchase inspections must be scheduled and completed within the inspection window specified in the transaction agreement
- Inspection results are confidential and shared only between the buyer, seller, and EAG unless otherwise required by law
Shipping & Delivery
EAG can coordinate secure asset transportation across the United States and Canada. The following terms apply to shipping and delivery arrangements:
- Transport coordination is an optional service. Buyers and sellers may arrange independent transport with EAG's knowledge
- EAG's transport partners provide insured, enclosed transport for applicable asset categories
- Risk of loss or damage during transport passes to the buyer at the point of confirmed delivery unless otherwise specified in writing
- Delivery timelines are estimates and may be affected by distance, weather, and logistics availability. EAG is not liable for delays beyond our control
- The buyer is responsible for ensuring a receiving location is accessible and that all required permits, marina access, or specialty equipment are available at time of delivery
- International transport (outside USA and Canada) is available but subject to additional fees, documentation requirements, and customs coordination
Protection Coverage Limitations
EAG's escrow and verification processes are designed to reduce transaction risk, but they do not constitute insurance, warranty, or a guarantee of outcome. Specifically:
- EAG's verification of ownership and title does not guarantee that subsequent title challenges cannot arise from pre-existing undisclosed encumbrances
- EAG's facilitation of the transaction does not create a warranty regarding the condition, fitness for purpose, or performance of any asset
- Escrow protection ensures funds are secure during the transaction period but does not cover post-delivery disputes about condition unless raised during the inspection window
- EAG does not provide buyer protection insurance. Buyers are encouraged to obtain appropriate insurance prior to completing any transaction
No Guarantee of Future Value
EAG provides asset valuation context as a general reference only. No statement made by EAG, its representatives, or any listing on our platform constitutes a representation or guarantee of future market value.
High-value assets including vehicles, marine vessels, recreational vehicles, and specialty equipment are subject to market fluctuations, depreciation, condition changes, and demand shifts that are entirely outside EAG's control.
Buyers should never purchase an asset as an investment based on projected resale value. EAG does not provide financial or investment advice. Any transaction should be based on the buyer's assessment of the asset's value to them at the time of purchase.
Limitation of Liability
To the fullest extent permitted by applicable law in the United States and Canada, EAG — Elite Automotive Group LLC shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform or any transaction
- Loss of profits, revenue, data, or business opportunities in connection with any transaction or platform use
- Any actions, omissions, or misrepresentations by buyers, sellers, or third-party service providers involved in a transaction
- Platform downtime, technical errors, or interruption of services
- Defects or issues in an asset that were not disclosed by the seller and were not identifiable through reasonable inspection
EAG's total liability to you in connection with any matter arising from these Terms or your use of the platform shall not exceed the facilitation fees paid to EAG in connection with the specific transaction at issue.
Prohibited Conduct
The following conduct is strictly prohibited on the EAG platform and may result in immediate suspension, permanent removal, and potential legal action:
- Misrepresenting ownership, title status, or asset condition
- Providing false identity information during verification
- Attempting to contact the opposing party outside EAG's facilitated communication channels to negotiate or conduct a transaction directly and bypass EAG's process
- Listing an asset that is subject to undisclosed liens, legal holds, or ownership disputes
- Using the platform for any form of fraud, money laundering, or financial crime
- Interfering with the escrow process, including attempting to redirect funds or falsely claiming transaction milestones
- Threatening or harassing EAG staff, buyers, or sellers
- Reverse engineering, scraping, or reproducing any content or functionality of the platform
Dispute Handling
EAG aims to resolve all transaction disputes quickly and fairly. Our process is designed to protect both parties while maintaining the integrity of the transaction.
- Step 1 — Direct resolution: Contact EAG directly within the inspection window to raise any dispute. Our team will review documentation and attempt to mediate a resolution within 5 business days
- Step 2 — Escrow hold: If a dispute cannot be resolved directly, escrow funds remain held pending documentation review and resolution
- Step 3 — Arbitration: Unresolved disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA) or, for Canadian transactions, the ADR Institute of Canada, in the jurisdiction where EAG is incorporated
By using our platform, you waive your right to pursue class-action litigation against EAG. All disputes must be raised individually and in accordance with this process.
Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. For users located in Canada, applicable Canadian federal and provincial laws may supplement these Terms where required.
Any legal proceedings not subject to arbitration shall be brought exclusively in the courts of Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.
