Agreement to Terms
These Terms and Conditions ("Terms") govern your access to and use of the EAG — Elite Automotive Group platform, including our website, services, asset listings, transaction coordination, escrow arrangements, and related communications. By accessing the platform, submitting an inquiry, or participating in an EAG-facilitated transaction, you agree to these Terms.
EAG acts as a transaction and consignment intermediary. We represent assets on behalf of sellers, coordinate the transaction process, assist with documentation and inspections, arrange transportation when requested, and coordinate the escrow process. Unless otherwise stated in the applicable transaction agreement, the purchase price is paid by the buyer to the designated escrow account and is not received or held by EAG.
Platform Use
The EAG platform is provided for the purpose of facilitating private high-value asset transactions. You may use our platform only for lawful purposes and in accordance with these Terms.
- You may submit asset listings, buyer inquiries, and escrow requests for legitimate private transactions
- You may not use the platform to list assets you do not own or have legal authority to sell
- You may not misrepresent the condition, history, or ownership status of any asset
- You may not use automated tools or bots to access, scrape, or interact with the platform
- You may not attempt to bypass verification or identity screening requirements
- You may not use the platform to facilitate money laundering, fraud, or any illegal activity
EAG reserves the right to suspend or permanently remove any user from the platform at its discretion, particularly where misuse, fraud, or misrepresentation is suspected.
Eligibility
To use the EAG platform and participate in any transaction, you must:
- Be at least 18 years of age
- Be located in or conducting a transaction within the United States or Canada
- Provide accurate and complete identity information as required for verification
- Have the legal capacity to enter into a binding contract under applicable law
- Not be prohibited by any court order, regulatory action, or law from participating in asset transactions
EAG reserves the right to decline access to any individual or entity without explanation. Passing our initial intake screening does not guarantee approval for any specific transaction.
Buyer Responsibilities
As a buyer using the EAG platform, you acknowledge and agree to the following:
- EAG completes a pre-purchase review and inspection process for represented assets before delivery. Buyers may request available inspection and service documentation and may arrange an independent inspection when appropriate. The applicable transaction agreement will identify the inspection period and the specific terms of the EAG 7-Day Guarantee.
- Funds must be deposited into the designated escrow account in the agreed amount and timeframe
- Buyer is responsible for any applicable taxes, registration fees, import duties, or licensing costs in their state or province
- Wire transfer and escrow processing fees are outlined separately and are the buyer's responsibility unless otherwise negotiated
- Buyer must notify EAG of acceptance or any material issue identified during the inspection period specified in the transaction agreement. Any acceptance, rejection, or refund rights will be handled according to the applicable transaction agreement and EAG's published guarantee terms.
Seller Responsibilities
As a seller listing an asset through EAG, you acknowledge and agree to the following:
- Accuracy: All information provided about your asset must be accurate, complete, and not misleading. You must disclose any known defects, damage history, liens, or encumbrances
- Clear title: You represent that you are the legal owner of the asset and that it is free of undisclosed liens, judgments, or ownership disputes at the time of listing
- Documentation: You must provide all required documentation including title, registration, service records where applicable, and any other records reasonably requested by EAG or a prospective buyer
- Availability: The asset must remain available for sale throughout the active listing period. You may not sell the asset through another channel without first notifying EAG and withdrawing the listing
- Cooperation: You must cooperate fully with the escrow process, inspection coordination, and logistics arrangements required to complete the transaction
- Commission: EAG's facilitation fee structure will be outlined in your seller agreement. Fees are earned upon successful transaction close
Escrow Process
All EAG transactions are conducted through a structured escrow process designed to protect both buyer and seller. The following terms govern that process:
- Buyer funds are deposited into the designated escrow account identified in the transaction agreement.
- EAG does not receive or hold the buyer's purchase funds.
- Funds remain in escrow while the transaction is completed, including delivery and the buyer's inspection and acceptance period.
- Funds are released to the seller only after the applicable transaction conditions have been satisfied.
- If a material dispute arises during the applicable inspection or acceptance period, the funds remain in escrow while the matter is reviewed and handled according to the transaction agreement.
- Escrow timelines and any applicable banking or transaction fees are disclosed before the transaction is completed.
EAG coordinates the escrow process with the designated financial institution identified in the transaction agreement. EAG does not take custody of buyer funds. Release of funds is handled through the designated escrow arrangement after the agreed transaction conditions have been satisfied.
Inspections & Condition Reports
EAG may facilitate or provide access to inspection reports as part of the transaction process. The following applies to all inspection-related matters:
- Inspection reports provided through EAG reflect the condition and findings documented at the time of inspection. EAG also reviews represented assets before delivery and coordinates necessary repairs or service work when required under the transaction arrangement.
- Buyers are strongly encouraged to engage their own independent inspector in addition to any EAG-facilitated inspection
- The EAG 7-Day Guarantee applies to material discrepancies between the asset as delivered and the description and terms agreed in the applicable transaction documentation. It does not eliminate the buyer's obligation to report an issue within the applicable inspection or guarantee period.
- Pre-purchase inspections must be scheduled and completed within the inspection window specified in the transaction agreement
- Inspection results are confidential and shared only between the buyer, seller, and EAG unless otherwise required by law
Shipping & Delivery
EAG can coordinate secure asset transportation across the United States and Canada. The following terms apply to shipping and delivery arrangements:
- EAG can arrange and coordinate transportation for represented assets throughout the United States and Canada.
- Transportation costs are quoted separately based on the asset, destination, route, and required equipment. Promotional or reduced transportation rates may be available from time to time.
- Transportation arranged through EAG is covered by applicable cargo or transit insurance, subject to the terms, limits, and conditions of the applicable policy.
- If a covered loss or damage occurs during transportation, the matter is handled through the applicable insurance and transportation process. Buyer funds remain protected in escrow while the transaction is reviewed and the applicable claim is addressed.
- Delivery dates are estimates and may be affected by weather, road conditions, vessel scheduling, customs requirements, or other circumstances outside EAG's control.
- The buyer is responsible for providing a suitable and accessible delivery location and for any destination-specific permits, marina requirements, registration, taxes, or other charges that are the buyer's responsibility under the transaction agreement.
Protection Coverage & 7-Day Guarantee
EAG uses inspection, documentation, escrow coordination, and insured transportation procedures to reduce transaction risk. In addition, eligible purchases are covered by EAG's 7-Day Guarantee as described in the applicable transaction agreement.
- The EAG 7-Day Guarantee gives the buyer a defined period after delivery to report a material discrepancy between the asset received and the description and transaction terms agreed in writing.
- If the asset materially fails to match the agreed description or transaction terms, the buyer may request a refund in accordance with the EAG 7-Day Guarantee and the applicable transaction agreement.
- Escrow funds are not released to the seller until the agreed transaction conditions, including the applicable delivery and acceptance requirements, have been satisfied.
- Transportation coverage and the EAG 7-Day Guarantee are subject to their applicable terms, conditions, limits, and exclusions. Buyers are responsible for obtaining any additional insurance they may require for the asset after delivery.
No Guarantee of Future Value
EAG provides asset valuation context as a general reference only. No statement made by EAG, its representatives, or any listing on our platform constitutes a representation or guarantee of future market value.
High-value assets including vehicles, marine vessels, recreational vehicles, and specialty equipment are subject to market fluctuations, depreciation, condition changes, and demand shifts that are entirely outside EAG's control.
Buyers should never purchase an asset as an investment based on projected resale value. EAG does not provide financial or investment advice. Any transaction should be based on the buyer's assessment of the asset's value to them at the time of purchase.
Limitation of Liability
To the fullest extent permitted by applicable law in the United States and Canada, EAG — Elite Automotive Group LLC shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform or any transaction
- Loss of profits, revenue, data, or business opportunities in connection with any transaction or platform use
- Any actions, omissions, or misrepresentations by buyers, sellers, or third-party service providers involved in a transaction
- Platform downtime, technical errors, or interruption of services
- Defects or issues in an asset that were not disclosed by the seller and were not identifiable through reasonable inspection
Nothing in these Terms limits any rights or remedies that cannot lawfully be limited under applicable federal, state, provincial, or territorial law. Subject to those requirements, EAG's liability will be limited to the remedies expressly provided in the applicable transaction agreement and, where permitted by law, the facilitation fees paid to EAG in connection with the transaction giving rise to the claim.
Prohibited Conduct
The following conduct is strictly prohibited on the EAG platform and may result in immediate suspension, permanent removal, and potential legal action:
- Misrepresenting ownership, title status, or asset condition
- Providing false identity information during verification
- Intentionally bypassing EAG's transaction process to complete a represented transaction directly with the other party in order to avoid applicable EAG fees or contractual obligations.
- Listing an asset that is subject to undisclosed liens, legal holds, or ownership disputes
- Using the platform for any form of fraud, money laundering, or financial crime
- Interfering with the escrow process, including attempting to redirect funds or falsely claiming transaction milestones
- Threatening or harassing EAG staff, buyers, or sellers
- Reverse engineering, scraping, or reproducing any content or functionality of the platform
Dispute Handling
EAG aims to resolve all transaction disputes quickly and fairly. Our process is designed to protect both parties while maintaining the integrity of the transaction.
- Step 1 — Direct resolution: Contact EAG promptly after identifying an issue. Our team will review the transaction records, inspection documentation, delivery records, and other relevant information and work with the parties toward a practical resolution.
- Step 2 — Escrow protection: Where a dispute concerns a transaction for which funds remain in escrow, the applicable funds will remain subject to the escrow arrangement while the matter is reviewed.
- Step 3 — Formal resolution: If a dispute cannot be resolved directly, it will be handled according to the dispute-resolution provisions of the applicable transaction agreement and the laws that apply to the transaction.
Governing Law
These Terms are governed by the laws of the State of Missouri, United States, except to the extent that applicable federal, state, provincial, territorial, or other mandatory law requires otherwise.
To the extent permitted by applicable law, any court proceeding relating to these Terms or an EAG-facilitated transaction will be brought in a court of competent jurisdiction in Missouri. Nothing in these Terms is intended to limit a consumer's mandatory rights or remedies under the laws applicable to their transaction.
